Terms of Service

Effective: June 16, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Zoolots LLC, a Florida limited liability company at 5107 University Blvd West, Jacksonville, FL 32216. ZooLots (“ZooLots,” “we,” “us”) is the brand and trade name under which Zoolots LLC operates its online auction marketplace. They govern your use of the ZooLots websites, apps, and auction services. By creating an account, bidding, or using the Services you agree to these Terms and our Privacy Policy.

Please read “Dispute resolution” below carefully. Except where prohibited by law, it requires individual binding arbitration and waives the right to a jury trial or class action.

Eligibility & accounts

You must be 18+ and able to form a binding contract. One account per person. Keep your information accurate and your password secure; you are responsible for all activity under your account.

Listings & condition

Lots are sold AS-IS, WHERE-IS with all faults, based on the listing description, condition grade, and photos. Customer returns, pallets, and mystery boxes are variable; estimates are opinions, not guarantees. Some lots carry a hidden reserve and may go unsold if it is not met.

Bidding

Every bid is a binding, irrevocable offer to buy and may not be retracted. If you are the highest bidder at close you must purchase the lot for your winning bid plus any premium, fees, and tax. Minimum increments: $1 (under $25), $5 (under $100), $10 (under $500), $25 ($500+). Anti-snipe extends the auction by 60 seconds when a bid lands in the final minute.

Payment

Payments are processed by Stripe (card, Apple Pay, Google Pay); ZooLots never sees or stores your full card number. You must pay within 24 hours of close. Non-payment may result in order cancellation, account suspension, and a bar from future bidding.

Sales tax

Applicable Florida and local sales tax is added at checkout based on the pickup location and applicable law.

Title, risk of loss & pickup

Title and risk of loss pass to you on full payment. Pick up in person at the ZooLots warehouse during your booked appointment with a valid photo ID and your order/QR code. Lots not picked up within 7 days of payment may be forfeited without refund, relisted, and subject to storage fees.

Returns

Returns are accepted within 7 days of pickup only if an item is materially different from its listing. Disclosed cosmetic flaws are not grounds for return; mystery boxes and pallets are sold as-is. See our returns policy.

Prohibited conduct

No multiple accounts, shill bidding on your own consignments, bots, price manipulation, false information, or harassment of staff. Violations may result in voided sales, forfeiture, and a permanent ban without refund.

Text messages (SMS) — account notifications

When you provide your mobile number and create an account, you consent to receive account and transaction text messages from ZooLots (sent via Twilio), such as won-lot, pickup-ready, appointment-reminder, and payment alerts. This is not a marketing program.

We do not send marketing texts and never sell or share your mobile number or SMS consent with third parties or affiliates for their marketing.

Disclaimers & liability

The Services and lots are provided “AS IS” without warranties of any kind. To the fullest extent permitted by law, ZooLots is not liable for indirect or consequential damages, and our total liability for any claim is limited to the greater of the amount you paid for the lot at issue or $100.

Dispute resolution

You and ZooLots will first try to resolve disputes informally (email hello@zoolots.com, 30 days). Otherwise, disputes are resolved by binding individual arbitration (AAA Consumer Rules) in Duval County, Florida, except individual small-claims matters. You waive any right to a jury trial and to participate in a class action.

Governing law

These Terms are governed by Florida law; exclusive venue for non-arbitrable matters is the state and federal courts in Duval County, Florida.

Electronic communications & consent

By creating an account you consent to receive these Terms, the Privacy Policy, receipts, invoices, and notices electronically (email, in-app, or opted-in text), and you agree that electronic delivery satisfies any “in writing” requirement. Accepting these Terms or clicking “I agree” is your electronic signature under the federal E-SIGN Act and Florida law.

General provisions

These Terms (with the Privacy Policy and referenced policies) are the entire agreement and supersede prior ones. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of assets. We are not liable for delays caused by events beyond our reasonable control. Section headings are for convenience only.
